User Agreement

Effective Date: October 18, 2025

1. Introduction

Welcome to our AI-powered sales management platform ("Service"). This User Agreement ("Agreement") governs your access to and use of our Service. By registering for an account, you agree to be bound by this Agreement.

2. Definitions

"Service" – the AI sales management platform and all related services
"User" – any individual or entity that creates an account and uses the Service
"Agent" – AI-powered conversational assistant created within the Service
"Token" – unit of measurement for API usage (LLM and embedding operations)
"Subscription" – paid or free plan providing access to Service features

3. Service Description

The Service allows Users to create and manage AI agents for customer interaction, lead generation, and sales automation. Features include:

Creation and configuration of AI conversational agents
Lead capture and management
Integration with third-party services (CRM systems, etc.)
Analytics and reporting
API access (on applicable plans)

4. Account Registration

To use the Service, you must:

Provide accurate and complete registration information
Verify your email address
Maintain the security of your account credentials
Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

5. Subscription Plans and Billing

The Service is offered under various subscription plans (Free, Basic, Pro, Max). Each plan includes:

Monthly token allocation for API usage
Feature access as specified in the plan
Agent and lead storage limits

Detailed pricing and features are outlined in Appendix 1: Tariffs.

5.1 Free Plan

New users receive a Free plan upon registration with limited monthly tokens and features. The Free plan is subject to fair use policies.

5.2 Paid Plans

Paid subscriptions are billed monthly in advance. By subscribing, you authorize us to charge your payment method on a recurring basis.

5.3 Credit System and Token Conversion

5.3.1 Platform Credits

Our Service uses a credit-based billing system. Credits are consumed when AI agents process messages and index knowledge base content.

5.3.2 Credit System Details

The exact conversion rates, pricing formulas, and technical specifications are provided in Appendix 2: Credit Calculation Formula (see below).

5.3.3 Credit Consumption

Credits are consumed when AI operations are performed. The Service may use various third-party LLM and embedding providers to deliver functionality. Provider selection and associated costs are managed by us and may change without notice to ensure optimal service quality and pricing.

5.3.4 Quota Management

Credit usage is tracked per agent and aggregated at the user level. When monthly credit quota is exceeded:

Service functionality will be limited until quota renewal or plan upgrade
You will receive notification when approaching 80% of quota
Quotas reset at the start of each billing period

5.3.5 Monthly Credit Reset and Plan Changes

Important: Monthly Credit Reset Policy

Credits are allocated monthly and reset at the beginning of each billing period. Unused credits from the current month do not carry over to the next billing period and are forfeited.

5.3.6 Plan Downgrade Policy

When downgrading from a higher plan to a lower plan:

Remaining credits from the current plan are transferred to the new plan
Transferred credits are capped at the new plan's monthly credit limit
Any excess credits above the new plan's limit are forfeited
Example: If you have 40,000 credits remaining on Pro plan (100,000/month) and downgrade to Basic (20,000/month), only 20,000 credits will be transferred

5.3.7 Plan Upgrade Policy

When upgrading to a higher plan:

Upgrade requires payment processing
You receive the full monthly credit allocation of the new plan
Previous plan credits are not carried over - you start fresh with the new plan's allocation
The billing period resets from the date of upgrade

6. Payment Terms

Payment for paid subscriptions is processed through our payment partners. You agree to:

Provide valid payment information
Pay all applicable fees and taxes
Resolve any payment disputes directly with your payment provider

7. Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation:

Access to paid features continues until the end of the current billing period
Your account automatically downgrades to the Free plan
No refunds are provided for partial billing periods

8. Acceptable Use

You agree not to:

Use the Service for illegal or unauthorized purposes
Violate any applicable laws or regulations
Infringe upon intellectual property rights of others
Transmit malicious code or engage in harmful activities
Attempt to reverse engineer or compromise Service security
Use the Service to generate spam or fraudulent content

9. Data Privacy

We collect and process personal data as described in our Privacy Policy. By using the Service, you consent to such collection and processing.

10. Intellectual Property

The Service and all related intellectual property remain our exclusive property. You retain ownership of content you create, subject to our right to use it to provide the Service.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee uninterrupted or error-free operation.

12. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for indirect, incidental, or consequential damages arising from your use of the Service.

13. Modifications

13.1 Agreement Modifications

We reserve the right to modify this Agreement at any time. Continued use of the Service after modifications constitutes acceptance of the updated Agreement.

13.2 Tariff Plan Modifications

Important: Tariff Plan Changes

We reserve the right to modify tariff plans, including pricing, credit allocations, and feature sets, at any time to maintain service quality and economic sustainability.

13.2.1 Effective Date of Tariff Changes

When tariff plans are modified:

For Paid Subscriptions: Changes take effect at the end of the current prepaid billing period. Your current subscription terms remain valid until the end of the period you have already paid for.
For Free Plan Users: Changes take effect on the 1st day of the following calendar month.
Users will be notified of significant tariff changes at least 14 days before they take effect.
If you do not agree with the new tariff terms, you may cancel your subscription before the changes take effect.

13.2.2 Grandfathering Policy

In some cases, we may offer to grandfather existing users at their current pricing for a limited period. Such offers will be communicated individually and are subject to our discretion.

14. Governing Law

This Agreement is governed by the laws of the Russian Federation.
