Agent Management System
Welcome to our AI-powered sales management platform ("Service"). This User Agreement ("Agreement") governs your access to and use of the Service. By registering for an account, you agree to be bound by this Agreement.
Unified nature of the Service. The Service includes both the Lite.panteo.ai web platform (website dashboard: creating AI agents, working with leads, integrations) and the "Super Agent" (SuperAgent Lite) — an AI agent operating inside messengers (Telegram, Max, etc.). Both products are provided by the same Rightholder (details in Section 17), run on a single platform-credit system (Section 5) and are governed by this single Agreement. The specific terms of use of the Super Agent are set out in Section 16. By taking any of the following actions — registering an account on the website, or starting to use the Super Agent in a messenger (including binding a bank card) — you accept this Agreement in full.
The Service allows Users to create and use AI agents for customer interaction, lead generation and sales automation, as well as to use a personal AI agent inside a messenger. Features include:

You are responsible for all activity conducted under your account. No separate website registration is required to use the Super Agent — the User's account is their messenger account (see Section 16).
The Service is provided under tariff plans (Free, Basic, Pro, Max). A single platform-credit system applies: upon top-up the approximate correspondence is 1 platform credit ≈ 1 ruble of the tariff price. Credits are tracked on the User's single balance and are spent by both the web platform and the Super Agent. Tariff plans:

"Free" is a one-time introductory access without a bank card (credits are granted once for 30 days). The default tariff is "Pro". A single platform-credit balance is used by both the web platform and the Super Agent. The Super Agent introductory and trial period terms are in Section 16; the credit-charging rules are in Section 6.
Platform credits are spent on AI operations (processing of messages by AI agents and the Super Agent, knowledge-base indexing) based on actual consumption of resources. The rules for charging platform credits are set out in Section 6. Platform credits are not money, electronic money or securities, are not exchangeable for money and are valid during the paid period.
The Service may use various third-party LLM and embedding providers. The choice of provider and the related costs are managed by us and may change to ensure optimal quality and pricing; this does not affect the amount of platform credits granted to the User under their tariff.
Platform-credit usage is tracked and aggregated at the User level (single balance). If the monthly credit quota is exceeded:

Platform credits are allocated monthly and reset at the start of each billing period. Unused credits from the current month do not carry over to the next billing period and are forfeited.

New users are granted free (introductory) access with a limited amount of platform credits; for the Super Agent, the introductory and trial period terms are set out in Section 16. Free access is subject to a fair-use policy.
Platform credits are the single, universal internal accounting unit of the Service, common to all systems that call the language-model router. The User tops up a single credit balance (upon top-up, approximately 1 platform credit ≈ 1 ruble, see Section 5), and charges are made from this single balance.
When the Service is used, platform credits are charged from the User's single balance in an amount that depends on the type and volume of resources actually consumed:
The cost of a unit of usage in platform credits is determined by the Service's current rates, which reflect provider tariffs and infrastructure costs. The exact rates for individual models and resources are variable and are not published in this Agreement; the current values are available in the Service interface (in the dashboard and/or in the chat with the agent) and may change in the manner provided for in Section 14 of this Agreement.
Paid subscriptions are billed monthly in advance; by subscribing, you authorize us to charge your chosen payment method on a recurring basis. Payment is processed through our payment partners. You agree to:

We collect and process personal data as described in our Privacy Policy. When the Super Agent is used, the data processed includes, in particular, the User's messenger account identifier, the content of dialogs with the agent and transmitted files, as well as Service usage data (credit consumption, payment events — without bank card data). By using the Service, you consent to such collection and processing.
The Service and all related intellectual property remain our exclusive property. Access to the Service software is granted under a simple (non-exclusive) license. You retain ownership of the content you create, subject to our right to use it to the extent necessary to provide the Service.
THE SERVICE IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES. We do not warrant uninterrupted or error-free operation. Agent responses are generated by artificial intelligence models and may contain inaccuracies; the User independently verifies information that is significant to them.
To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential damages arising from your use of the Service. The Rightholder's aggregate liability is limited to the amount paid by the User for the Service for the last billing period.
We reserve the right to modify this Agreement at any time. Continued use of the Service after changes are made constitutes acceptance of the updated Agreement.
Important: changes to tariff plans.
We reserve the right to change tariff plans, including prices, credit allotments and feature sets, at any time to maintain service quality and economic sustainability. Tariffs are introductory and may be adjusted.
In some cases we may offer existing users the ability to keep current prices for a limited period. Such offers are communicated individually and are provided at our discretion.
This Agreement is governed by the laws of the Russian Federation. All disputes are resolved through negotiation and, failing agreement, in the manner prescribed by the legislation of the Russian Federation.
This Section sets out the specific terms of use of a part of the Service — the "Super Agent" (SuperAgent Lite), an AI-powered agent operating inside messengers (Telegram, Max, etc.). This Section applies in addition to the other sections of this Agreement; in case of any conflict, the provisions of this Section 16 shall prevail with respect to the Super Agent. The single platform-credit system and tariffs (Sections 5 and 6) apply to the Super Agent in full.
Access to the Super Agent is granted under a simple (non-exclusive) license to use the software. Exclusive rights to the software remain with the Rightholder (LLC "EVAL", details in Section 17). Using the Super Agent does not require separate registration on the website: the User's account is their messenger account. Personal links (e.g. the card-binding link from the /subscribe command) are intended solely for the User to whom they are issued and may not be transferred to third parties. The current platform-credit balance is available via the /credits command in the chat with the agent.
16.2.1. Introductory period before card binding. On first connection to the Super Agent, the User is granted a one-time free introductory allotment of platform credits without binding a bank card (the current amount and term are shown in the tariff table in Section 5, the "Free" row).
16.2.2. Trial period upon card binding. Upon binding a bank card, the User is granted a one-time trial period with a free allotment of platform credits. A payment of 1 (one) ruble is performed to verify the card.
Binding a card constitutes the User's consent to subsequent recurring charges in accordance with the selected tariff (Section 5). Upon the end of the trial period (or upon exhaustion of trial credits, whichever occurs first), the price of the selected tariff is automatically charged monthly to the bound card, and the corresponding amount of platform credits is added to the balance. The default tariff is "Professional"; the billing period is 30 calendar days. The User is notified of the upcoming first charge in advance in the chat with the agent. Payments are processed by the payment partner (JSC "TBank"); bank card data is not transferred to the Rightholder and is not stored on its servers.
The User may disable auto-renewal at any time via the /unsubscribe command in the chat with the agent (or by contacting support). After cancellation, access and unused platform credits remain until the end of the paid period; no new charges are made. Refunds for a partially used paid period are not provided, except as required by the legislation of the Russian Federation (see also Section 8 of this Agreement).
If a recurring charge fails, the Service retries and notifies the User. After a grace period (3 calendar days), access to the Super Agent is suspended until successful payment; the User's data and context are preserved.
A fiscal receipt is issued to the User for each payment in accordance with Federal Law No. 54-FZ. The description of the settlement subject in the receipt:
"Granting the right to use the Lite Panteo software (simple non-exclusive license), tariff <Basic / Professional / Maximum>"
The settlement subject attribute is "granting rights to use results of intellectual activity"; the settlement method is "100% prepayment"; the taxation system is simplified (income).
